Sales and Shipping Terms

Accepting these Terms

When you place an order on our website, you are asked to tick a box confirming that you agree to the Terms of Use and these Sales and Shipping Terms. You cannot submit an order without doing so. By placing an order by phone or e-mail, you also agree to these Terms.

We keep a record of each acceptance: your name and e-mail address, the version of the terms you accepted, and the date and time. Each order is governed by the version of these Terms in effect when you place it, so if we update these Terms, the new version applies from your next order.

You do not need to accept these Terms to browse our website.

Who may buy

We sell to customers in the 50 United States only, for use in lactating dairy cows as directed on the product label. We may ask for information to set up or verify your account before we accept an order.

Placing an order and when it is accepted

Submitting an order on our website, or sending us an order form, is a request to buy. No payment is taken on our website, and an order is not accepted until we confirm it.

Our sales team reviews every order, usually within 3 business days, and confirms the final price, sales tax, shipping method and how to pay. If you are a new customer, our finance team will contact you first to set up your account.

We may decline or cancel any order before it ships, for example if your account is not in good credit standing or the product is unavailable.

Prices

Prices are in US dollars and are shown on our website. The price that applies to your order is the one we confirm when we accept it. We may change our prices at any time; a change does not affect an order we have already accepted. If a price is shown in error, we will contact you before accepting the order.

Subscribe & Save pricing is a discounted price for customers enrolled in that program (see Subscribe & Save below). We do not offer promotion codes, coupons or gift cards.

Taxes

Applicable sales taxes are charged on orders unless you have given us valid tax-exemption documentation for the delivery state. Tax is calculated when we confirm your order and is shown on your invoice.

Payment

You will be invoiced for each order. Payment is due within 30 days of the invoice date.

You can pay by ACH bank transfer, or by credit or debit card, on the secure payment page of our payment processor, Clover (Fiserv), which you can reach from unionagener.com/pay. Card payments carry a surcharge of 3%; ACH payments carry none. Your card and bank details are entered only on the processor's page and never pass through our website or servers.

If your account becomes overdue, we may hold or cancel open orders, and Subscribe & Save pricing is removed, until the balance is paid in full.

If you pay more than you owe, the difference is kept as a credit on your account with us. On request, we will refund any unused credit by check.

Shipping and delivery

Shipping is free to all 50 states by UPS 2nd Day Air.

We ship Monday to Wednesday, provided your account is in good credit standing. Orders confirmed before 2:00 p.m. Central time on a shipping day ship that day. Orders confirmed later ship on the next shipping day, so an order confirmed after 2:00 p.m. Central time on Wednesday, or on Thursday to Sunday, ships the following Monday.

If you need your order faster, you can upgrade to UPS Next Day Air for $50 per order. The upgrade must be requested when you place the order and before the 2:00 p.m. Central time cut-off; on our website, tick the Next Day Air box at checkout. The $50 is added to your invoice.

Delivery dates are estimates. Holidays, severe weather and carrier disruptions may change our shipping schedule. Once your order has been handed to the carrier, we are not responsible for delays or disruptions caused by the carrier.

Your delivery details

Please make sure your shipping address and contact details are correct and that someone can receive the delivery. If an order cannot be delivered because of incorrect information you gave us, because no one was available to receive it, or for another reason within your control, you remain responsible for paying for it.

If you ask us to ship to an address that is not on file for your account, our sales team will confirm the new address with you before the order ships.

Changing or cancelling an order

You can change or cancel an order until it is released to our warehouse, which happens on the morning of the scheduled ship date. After that, the order cannot be changed or cancelled, and you remain responsible for paying for it.

Changes to Subscribe & Save shipments need at least one week's notice (see Subscribe & Save below).

Temperature on arrival and storage

Posilac does not need to arrive with ice packs or still feel cold to be usable. On arrival, store it as directed on the product label.

Problems with an order, and returns

If something is wrong with your order, such as damaged, missing or incorrect product, or a shipping error on our part, please contact us as soon as possible after delivery, preferably within 5 business days, at 1-844-952-0330 or UnionAgenerCS@icsconnect.com. We will put right any problem we caused, by replacing the product or crediting your account.

We cannot accept returns of product that was ordered and delivered correctly. Posilac is a temperature-sensitive animal drug: returned product cannot be put back into inventory and must be destroyed.

Subscribe & Save

Subscribe & Save gives enrolled customers discounted pricing on Posilac, with shipments scheduled weekly or monthly. Scheduled shipments go by UPS 2nd Day Air and ship Monday to Wednesday.

Enrollment lasts 12 months and renews automatically for further 12-month periods until you cancel. To enroll, call 1-844-952-0330 or e-mail UnionAgenerCS@icsconnect.com.

You can change the quantity, the shipment date or frequency, or cancel your enrollment at any time, without penalty, by calling 1-844-952-0330 or e-mailing UnionAgenerCS@icsconnect.com. Please tell us at least one week before your next scheduled shipment. With less notice, that shipment may still be processed and delivered, and you will be invoiced for it. You are not required to buy for the full 12 months.

Subscribe & Save pricing is a discount from our standard prices. It does not fix the price for the enrollment period: our prices may change during it.

Subscribe & Save pricing depends on your account staying in good credit standing. If your account becomes overdue, the discount is removed and all future scheduled shipments are cancelled. Once the balance is paid in full, you may contact us to enroll again.

Product use and warranty

Use Posilac only as directed on its label. Union Agener warrants that Posilac, when shipped, meets its approved label specifications and is within its expiry date.

EXCEPT FOR THIS WARRANTY, TO THE EXTENT PERMITTED BY LAW, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of liability

To the extent permitted by law, Union Agener's total liability for any order is limited to the amount you paid for that order, and we are not liable for any indirect or consequential losses, including lost milk production or lost profits.

Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, including holidays, severe weather, natural disasters, carrier disruptions, supply interruptions and government action.

Governing law

These Terms are governed by the laws of the State of Georgia. Any dispute about these Terms or an order will be decided by the courts located in the State of Georgia.

Changes to these Terms and language

We may update these Terms from time to time. The version on our website when you place an order applies to that order. If these Terms are translated, the English version controls.
